These Terms of Service ("Terms") govern the use of the Meta WhatsApp API ("WhatsApp API") by Logiclens Solutions Private Limited ("Logiclens", "we", "us", or "our") in connection with its Person Intrusion Detection System ("System"). By accessing or using the WhatsApp API for Logiclens services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the WhatsApp API in connection with Logiclens services.

1. Definitions

  • Logiclens Solutions Private Limited: A company incorporated under the laws of India, developing a Person Intrusion Detection System that leverages the WhatsApp API for communication, alerts, and notifications.
  • Person Intrusion Detection System ("System"): A technology solution developed by Logiclens to detect unauthorized intrusions by persons into specified areas and send alerts/notifications via the WhatsApp API.
  • Meta: The parent company of WhatsApp, providing the WhatsApp API under its own terms and policies.
  • WhatsApp API: The application programming interface provided by Meta/WhatsApp to enable businesses like Logiclens to communicate with users on the WhatsApp platform.
  • User: Any individual or entity interacting with Logiclens’s System, including but not limited to customers, clients, or end-users receiving notifications via WhatsApp.
  • Content: Any data, messages, alerts, or information transmitted via the WhatsApp API by Logiclens or its Users.
  • Applicable Law: All local, national, and international laws, regulations, and standards applicable to the use of the WhatsApp API and Logiclens services, including but not limited to data protection laws (e.g., GDPR, CCPA).

2. Scope of Service

Logiclens Solutions Private Limited integrates the WhatsApp API into its Person Intrusion Detection System to provide real-time notifications, alerts, and updates to Users regarding detected intrusions or security events. The WhatsApp API is used solely for the following purposes:

  • Sending automated alerts to Users about detected intrusions.
  • Providing status updates on the System’s operations (e.g., system health, maintenance schedules).
  • Enabling Users to opt-in or opt-out of notifications.
  • Facilitating secure communication between Logiclens and its Users for support or inquiries related to the System.

Logiclens does not use the WhatsApp API for marketing, promotional activities, or any purpose beyond the operational scope of the Person Intrusion Detection System unless explicitly authorized by Meta and Users.

3. Compliance with Meta’s Policies

Logiclens Solutions Private Limited agrees to comply with all applicable Meta and WhatsApp policies, including but not limited to:

  • WhatsApp Business Policy: Logiclens will adhere to WhatsApp’s rules for business communications, including message templates, opt-in requirements, and prohibitions on spam.
  • Meta Developer Policies: Logiclens will comply with Meta’s developer guidelines for API usage, including restrictions on data sharing and user privacy.
  • WhatsApp Terms of Service: Logiclens acknowledges that its use of the WhatsApp API is subject to WhatsApp’s Terms of Service, available at WhatsApp Terms of Service.

Any violation of Meta’s policies may result in suspension or termination of Logiclens’s access to the WhatsApp API, and Logiclens assumes full responsibility for ensuring compliance.

4. User Consent and Data Privacy

4.1 Opt-In Requirement

Logiclens will only send messages via the WhatsApp API to Users who have explicitly opted in to receive notifications. Users must provide affirmative consent (e.g., via a website form, SMS, or in-person acknowledgment) before receiving messages. Logiclens will maintain records of opt-in consent and provide them to Meta or regulatory authorities upon request.

4.2 Data Collection and Use

Logiclens Solutions Private Limited will collect and process the following User data via the WhatsApp API:

  • Phone numbers for message delivery.
  • Metadata (e.g., timestamps, delivery status) as generated by WhatsApp.
  • User preferences for notifications (e.g., frequency, type of alerts).

Logiclens will not collect, store, or process any message content beyond what is necessary for delivering intrusion detection alerts. All data will be handled in accordance with Applicable Law, including:

  • General Data Protection Regulation (GDPR) for Users in the European Union.
  • California Consumer Privacy Act (CCPA) for Users in California.
  • Other relevant data protection laws based on User location.

4.3 Data Security

Logiclens will implement industry-standard security measures to protect User data, including encryption of data in transit and at rest, access controls, and regular security audits. Logiclens will not share User data with third parties except as required by law or with Meta for WhatsApp API functionality.

4.4 Data Retention

Logiclens will retain User data only for as long as necessary to fulfill the purposes outlined in these Terms or as required by Applicable Law. Users may request deletion of their data by contacting Logiclens at info@logiclens.co.in.

5. Acceptable Use of WhatsApp API

Logiclens Solutions Private Limited agrees to use the WhatsApp API in a manner that is lawful, ethical, and aligned with its intended purpose for the Person Intrusion Detection System. Prohibited uses include, but are not limited to:

  • Sending unsolicited messages (spam) or messages without User consent.
  • Using the API for purposes other than intrusion detection notifications (e.g., marketing, advertising) without prior approval from Meta.
  • Transmitting content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
  • Attempting to reverse-engineer, hack, or interfere with the WhatsApp API or its infrastructure.
  • Sharing sensitive personal data (e.g., health, financial information) unless explicitly authorized by Users and compliant with Applicable Law.

6. Message Content and Templates

6.1 Pre-Approved Templates

Logiclens will use pre-approved message templates as required by WhatsApp for all business-initiated messages. Templates will include clear, concise, and relevant information about intrusion detection events, such as:

  • "Intrusion detected at [location] on [date/time]. Please take action."
  • "System maintenance scheduled for [date/time]. Notifications may be delayed."

6.2 Content Restrictions

Logiclens will ensure that all messages comply with WhatsApp’s content policies and do not contain:

  • Promotional material unrelated to the System.
  • Offensive, discriminatory, or inappropriate language.
  • Links to external websites unless necessary for User action (e.g., viewing detailed reports on a secure Logiclens portal).

7. Intellectual Property

7.1 Logiclens Intellectual Property

All intellectual property rights related to the Person Intrusion Detection System, including software, algorithms, and branding, remain the property of Logiclens Solutions Private Limited. Users and Meta do not gain any ownership or rights to Logiclens’s intellectual property through the use of the WhatsApp API.

7.2 Meta Intellectual Property

Logiclens acknowledges that the WhatsApp API and related technologies are the intellectual property of Meta/WhatsApp. Logiclens will not reproduce, modify, or distribute any part of the WhatsApp API except as permitted by these Terms and Meta’s policies.

7.3 User Content

Users retain ownership of any content they submit to Logiclens via the WhatsApp API (e.g., responses to alerts). Logiclens is granted a non-exclusive, royalty-free license to use such content solely for the purpose of providing and improving the System.

8. Limitation of Liability

8.1 General Limitation

To the fullest extent permitted by Applicable Law, Logiclens Solutions Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the WhatsApp API or the Person Intrusion Detection System, including but not limited to loss of data, revenue, or profits.

8.2 WhatsApp API Availability

Logiclens is not responsible for any downtime, suspension, or termination of the WhatsApp API by Meta, nor for any delays or failures in message delivery caused by WhatsApp infrastructure or policies.

8.3 Accuracy of Alerts

While Logiclens strives to ensure the accuracy of intrusion detection alerts, it does not guarantee that all alerts will be error-free or that the System will detect all intrusions. Users are responsible for verifying and acting on alerts appropriately.

9. Indemnification

Logiclens Solutions Private Limited agrees to indemnify and hold harmless Meta, WhatsApp, and their affiliates from any claims, damages, or liabilities arising out of:

  • Logiclens’s misuse of the WhatsApp API.
  • Violation of these Terms or Meta’s policies.
  • Any unlawful or unauthorized use of User data by Logiclens.

Users agree to indemnify Logiclens from claims arising out of their misuse of the System or violation of these Terms.

10. Termination

10.1 By Logiclens

Logiclens may terminate or suspend access to the WhatsApp API integration for any User who violates these Terms or engages in prohibited activities.

10.2 By Meta

Logiclens acknowledges that Meta may suspend or terminate Logiclens’s access to the WhatsApp API at its discretion, in accordance with Meta’s policies. Logiclens will notify Users of any such suspension and take reasonable steps to mitigate impact.

10.3 Effect of Termination

Upon termination, Logiclens will cease using the WhatsApp API for the affected Users and delete any associated User data in accordance with Applicable Law and Section 4.4 (Data Retention).

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by the laws of India, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Jamshedpur (Jharkhand - India), in accordance with the rules of the Indian Council of Arbitration. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding.

12. Amendments

Logiclens Solutions Private Limited reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the Logiclens website (www.logiclens.co.in) or notifying Users via email or WhatsApp. Continued use of the System after such changes constitutes acceptance of the updated Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between Logiclens Solutions Private Limited and Users regarding the use of the WhatsApp API in connection with the Person Intrusion Detection System.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Force Majeure

Logiclens shall not be liable for any failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, war, or government actions.
